SaaS agreement template with clause by clause notes

A SaaS agreement template is a ready made contract for selling access to hosted software on a subscription. It sets the right to use the service, fees, renewal, uptime, data ownership, security and liability limits. Signee gives you the clauses with plain notes, fills them from your deal terms and sends the agreement for signature.

When to use a SaaS agreement

Use it whenever a customer pays a recurring fee to use software you host. It is the right document for a startup closing its first annual contract, for a vendor replacing click through terms with a signed contract for larger accounts, and for a buyer who wants its own paper instead of the vendor terms.

It is not the right document for building custom software for one client. That work belongs in a software development agreement, where scope, milestones and ownership of the code matter more than access rights.

Many teams split the paper in two. The legal terms live in a master service agreement template signed once, and each purchase is a short order form with price, seats and dates. Uptime and support details often go into a separate service level agreement template attached as a schedule, so they can change without reopening the whole contract.

Clause by clause

What each clause does and what to negotiate

Read these notes next to the outline above. They explain the usual position and where the other side tends to push back.

  1. 1Definitions

Fixes the meaning of the words the rest of the contract relies on. If Service or Customer Data is defined loosely, every later clause becomes harder to apply.

Negotiate. Make sure the Service definition covers the modules on the order form and that Users includes contractors if the customer needs them.

  2. 2Subscription and access

Grants the customer a right to use the software, not ownership of it, for internal business purposes and for a set number of users or seats.

Negotiate. Seat counts, affiliate use, and whether the customer can let its own clients log in.

  3. 3Acceptable use

Bans reverse engineering, reselling, overloading the platform and unlawful content, and lets the provider suspend an account that breaks the rules.

Negotiate. Customers usually ask for notice before suspension and a chance to fix the problem, except for security threats.

  4. 4Fees and payment

Sets the price, the billing cycle, the payment window and who pays tax.

Negotiate. Payment terms (Net 30 is common), caps on price increases at renewal, and whether unused seats can be reduced.

  5. 5Term and renewal

States how long the contract runs and whether it renews by itself unless someone gives notice in time.

Negotiate. Length of the notice period and how notice is given. A 60 or 90 day window is easy to miss without a reminder.

  6. 6Service levels and support

Commits the provider to an availability target and a support process, usually detailed in a separate SLA schedule.

Negotiate. Uptime target, what counts as downtime, credit amounts, and a right to exit after repeated failures.

  7. 7Customer data and security

Confirms the customer owns its data, limits how the provider uses it and requires reasonable security. Personal data triggers a data processing agreement.

Negotiate. Data location, breach notification time, use of data for product improvement, and the list of sub processors.

  8. 8Confidentiality

Protects non public information each side shares, such as pricing, roadmaps and security reports.

Negotiate. How long the duty lasts after termination and whether trade secrets stay protected indefinitely.

  9. 9Warranties and disclaimers

The provider promises the Service materially matches its documentation and disclaims everything else, such as fitness for a particular purpose.

Negotiate. A remedy if the warranty fails, typically a fix or a refund of prepaid fees for the affected period.

  10. 10Indemnities

The provider defends the customer if someone claims the software infringes their intellectual property. Some contracts add a customer indemnity for misuse of data.

Negotiate. Whether the indemnity sits outside the liability cap and what happens if the provider has to withdraw the feature.

  11. 11Limitation of liability

Excludes lost profits and other indirect losses and caps total liability, usually at fees paid in the previous 12 months.

Negotiate. The cap amount and the carve outs. Customers often push to exclude confidentiality and data breaches from the cap.

  12. 12Termination and exit

Lets either party end the contract after an uncured material breach and gives the customer time to export its data before deletion.

Negotiate. Length of the export window, export format, and refund of prepaid fees when the provider is at fault.

  13. 13Governing law

Chooses the law and the forum for disputes.

Negotiate. Usually the home jurisdiction of whichever party has more leverage. Pick one that both sides can live with.

Common mistakes

Where SaaS contracts usually go wrong

Missed renewal notice

Auto renewal with a 90 day notice period quietly locks the customer in for another year. Put the notice deadline in a calendar the day you sign.

Liability cap without carve outs

A cap of 12 months of fees that also covers data breaches can leave the customer with almost no remedy for the most serious risk.

Order form and terms disagree

When the order form says 50 seats and the agreement says 25, nobody knows which wins. State the order of precedence in one sentence.

No data processing agreement

If the service touches personal data of EU or UK residents, a DPA is a legal requirement, not an optional extra.

Vague uptime promise

Commercially reasonable efforts without a number, a measurement method or a credit gives the customer nothing to enforce.

No exit plan

Without an export window and format, leaving the service means losing the data that justified buying it.

    Pick the template

Open the SaaS Subscription Agreement in the template library, or describe the deal in one sentence and let AI draft it.

  2. 2

    Fill the variables

Enter parties, fee, initial term, notice days, payment days and uptime. Empty variables are highlighted before you can send.

  3. 3

    Edit clauses

Change any clause in the editor. On Business and Company plans a changed liability clause can route to an approver.

  4. 4

    Send and track

Set the signing order and reminders. After signing, the renewal date and notice deadline are extracted automatically.

The step most teams skip is the one after signing. Signee reads the term, renewal and notice clauses from the signed PDF and puts the deadline into a renewal pipeline with email alerts, which is what contract renewal management software is for. The signed copy lands in the same place as the rest of your contract management software records.

This template is not legal advice. Signee is not a law firm and does not review your agreement for you. The clauses are a starting point written for common business deals. Laws differ by country and state, so have a qualified lawyer review the agreement for high value contracts, regulated industries or anything involving personal data at scale.

SaaS agreement template questions

What is the difference between a SaaS agreement and a software license
A software license lets the customer install and run a copy of the software. A SaaS agreement grants access to software the provider hosts and operates, so it adds uptime, support, data handling and security terms that a license usually does not need.
Do I need a separate SLA
Not always. Smaller deals often keep a short service levels clause inside the SaaS agreement. Larger customers expect a separate SLA schedule with an uptime target, a measurement method, response times and service credits.
Should the SaaS agreement auto renew
Auto renewal is standard and protects recurring revenue. Keep the notice period reasonable, state how notice is given, and check local consumer and auto renewal laws if you also sell to individuals.
Who owns the data in a SaaS agreement
The customer should own its data. The provider gets a limited right to process it to deliver the service. Anything beyond that, such as using the data to train models or build benchmarks, should be stated explicitly.
Is this SaaS agreement template legally binding once signed
A signed agreement is binding if the usual contract requirements are met, and electronic signatures are valid for business contracts under ESIGN, UETA and eIDAS. Whether every clause is enforceable depends on the governing law, which is why a lawyer review matters for important deals.
Can I use my own SaaS terms instead
Yes. Upload your own agreement or save it as a template with variables, and Signee fills, sends and tracks it the same way.
