Terms of Service

These terms govern the use of signee.io and the Signee application. They are written in plain language, but they are a binding agreement between you and the administrator of the signee.io service.

Signee is not a law firm.

Templates, AI drafts and clause flags are tools for drafting and managing agreements. They are not legal advice and do not replace a lawyer who knows your situation.

Acceptance of these terms

By creating an account, buying a plan or using the service you accept these terms and the privacy policy. If you use Signee for a company, you confirm that you may bind that company, and "you" means the company. The service is intended for businesses and professionals. You must be at least 18 years old to create an account.

People who only receive an agreement to sign do not need an account. When they sign, they accept the consent to electronic records shown on the signing page and the parts of these terms that apply to signers.

The service

Signee is software for the life of an agreement: drafting from templates or with AI, editing and version history, internal approvals, electronic signatures, a repository of signed agreements, extraction of key dates and obligations, renewal alerts, workflows, an API and webhooks. Which features you can use depends on your plan, as described on the pricing page.

We improve the service continuously. We may change or replace features as long as the core of your plan stays available for the period you paid for.

Templates are not legal advice

Signee provides templates, AI generated drafts, clause libraries and automated review against a playbook that you define. These are drafting aids. The administrator of the signee.io service does not provide legal services, does not create an attorney client relationship with you and does not check whether an agreement is suitable, complete or enforceable for your purpose or in your jurisdiction.

You are responsible for the content of every agreement you send, including text suggested by AI. AI can make mistakes, miss facts you did not mention or use wording that does not fit local law. Review each draft before sending it, and ask a qualified lawyer to review agreements that are high value, unusual or regulated.

Electronic signatures

Signee lets parties sign agreements electronically. In the United States, the Electronic Signatures in Global and National Commerce Act (ESIGN) and the Uniform Electronic Transactions Act (UETA) as adopted by the states give electronic signatures and records the same legal effect as handwritten ones for most transactions, when the parties agree to do business electronically. In the European Union, Regulation 910/2014 (eIDAS) provides that an electronic signature cannot be denied legal effect or admissibility as evidence solely because it is electronic.

Signee provides simple electronic signatures supported by consent to electronic records, signer authentication through a unique email link and a tamper evident audit trail. Signee does not issue qualified electronic signatures (QES) under eIDAS and is not a qualified trust service provider. Whether a particular signature also meets the requirements of an advanced electronic signature depends on the facts of the signing.

Some documents cannot be signed electronically, or need a qualified signature, a witness or a notary, depending on the law that applies. Examples include wills and testamentary trusts, family law matters, court orders and documents, certain consumer notices and, in many countries, real estate transfers. You are responsible for choosing the right signing method for each document. If you send agreements to consumers, you are responsible for the disclosures that consumer law requires.

More detail is on our page about whether electronic signatures are legally binding. It is general information, not legal advice.

Accounts and workspaces

  • Keep your login details secure and tell us at [email protected] if you suspect someone else has used your account.
  • The person who creates a workspace is its owner and controls its plan, billing, members and data.
  • You are responsible for what members of your workspace do in it.
  • Use your real email address. Signing invitations, codes and alerts are sent there.

Plans, billing and limits

Signee is sold as a subscription. Plans are billed monthly or yearly in advance, in US dollars, through a payment operator. The yearly price is half of twelve monthly payments. Taxes are added where the law requires. There is no free plan; the home page offers a one time demo draft without an account.

Each plan includes limits such as users, documents sent for signature, AI drafts, contract imports and API calls. Limits on documents, drafts, imports and reviews count usage within the billing period. Deleting an agreement, draft or import does not give the usage back. Usage resets at the start of each billing period. The number of users is a limit on members at the same time.

When you move to a higher plan or from monthly to yearly billing, the price difference for the rest of the current period is charged right away and the new plan starts once that payment succeeds. When you move to a lower plan, the change applies from the next billing period and no refund is made for the current one. Each workspace can have one active subscription.

Subscriptions renew automatically at the end of each period until cancelled. If a payment fails, we retry it and may limit sending until it is paid.

Cancellation and refunds

You can cancel at any time in the billing settings of your workspace. Cancellation stops the next renewal, and you keep access until the end of the period you paid for. Payments for periods that have started are not refunded, except where the law gives you a right to a refund. Before your access ends you can export your agreements and audit certificates.

Acceptable use

You may not use Signee to:

  • send agreements that are fraudulent, deceptive or unlawful, or impersonate another person or company,
  • collect signatures from people who did not agree to sign electronically, or forge a signature,
  • send spam or unsolicited bulk messages through signing invitations,
  • upload malware or content that infringes the rights of others,
  • probe, overload or attack the service, or bypass plan limits or security measures,
  • resell the service or build a competing product from it.

Your content

You keep all rights to the agreements, templates and other content you put into Signee. You give us the permission needed to host, process, display and transmit that content only to provide the service to you and the people you send it to. We do not use your content to train AI models. You confirm that you have the right to use the content and to share the personal data in it with us for this purpose. For personal data in your agreements, we act as your processor; a data processing agreement is available on request from [email protected].

API and integrations

API access and webhooks are available on the plans that include them, within the daily call limits of the plan. Keep API keys secret. Integrations with CRM and team chat tools work through your accounts with those services and are subject to their terms.

Availability and support

We aim to keep Signee available around the clock, apart from planned maintenance, which we announce in advance where possible. The Company plan includes a 99.9 percent monthly uptime commitment; if we miss it, the workspace owner can ask for a service credit for that month. Support is provided in the application and at [email protected], with priority for Company workspaces.

Intellectual property

The software, design, brand and templates of Signee are protected by intellectual property laws. You may use the templates to create agreements for your own business. You may not copy or redistribute the template library as a collection.

Warranties and liability

The service is provided as is and as available. To the extent the law allows, we do not give warranties that it will meet every requirement you have, that drafts or reviews will be free of errors, or that a particular agreement will be enforceable.

To the extent the law allows, neither party is liable for indirect or consequential losses, lost profits or lost data, and the total liability of the administrator of the signee.io service for all claims in any twelve month period is limited to the amount you paid for the service in that period. Nothing in these terms limits liability that cannot be limited by law, such as liability for intentional misconduct.

Suspension and termination

We may suspend or close an account that breaks these terms, puts other users at risk or is used for fraud, after notice where that is reasonable. You can close your account at any time. After closure we delete workspace data as described in the privacy policy, except what we must keep by law.

Governing law and changes

These terms are governed by the law of the country where the administrator of the signee.io service is established, without regard to conflict of law rules. If you are a consumer, you keep the protection of the mandatory laws of the country where you live. Disputes go to the competent courts at the seat of the administrator, unless mandatory law gives you another forum.

We may update these terms. We announce material changes by email or in the application before they take effect, and if you do not agree you can cancel before then. Questions about these terms go to [email protected].
